Without any original contract stating what happens to the rights for the
work, then the author of the work would retain the rights to it but it would
be inferred that the client is granted a license to use the work in its
finished form. If you check over the history of the forum something similar
to this was raised about 2-3 months ago where I listed chapter & verse
regarding the UK legislation on such matters, I also included a
recommendation for a book to read on the subject.

Subject: FN-FORUM contract issue
I have a potential client that needs a Flash site updated. To do this I need
the original .fla files, however the agency that originally worked on the
site have the files and say they have right of ownership.
I checked if rights to ownership was written in to the original contract,
and my (potential) client is not sure if there was even a contract.
Therefore what rights does he have to get the .flas if either:
a) There was never a contract
b) There was a contract but nothing was stated with regards to ownership
