I assume that your W2K PC has an ethernet card already, that it's connected
to a cable/ADSL router already, and that you don't want to have to
disconnect it in order to connect to your W2K Server machine.

The cheapest way is a "crossover cable" between NICs in each machine.
Alternatively, you can use two "straight through" cables and a hub or
switch. The latter is more flexible, but more expensive.

Unless you don't mind disconnecting the W2K PC and reconnecting it to your
W2K Server. Make sure you don't enable IP forwarding on the W2K PC,
unless...

...you decide that while you're there, you could install suitable
firewall/Network Address Translation (NAT) software and enable IP
forwarding, allowing your W2K PC to act as an Internet router and firewall
for your W2K server.
