I'm not a solicitor, but our solicitor (the lovely Alex Chapman from
Briffa - thoroughly recommend him) checked out our T&Cs which include the
following:
5.3 Client warrants that it has obtained (and will on reasonable request
provide ONLINE CONTENT UK with copies and evidence of) all necessary rights,
clearances, permissions and licences for the use of the Materials by ONLINE
CONTENT UK and contractors and that it is fully entitled to grant to ONLINE
CONTENT UK and contractors these rights and that the Materials are free of
racist, defamatory, obscene and other legally restricted material.
and then:
5.5 Client undertakes to ONLINE CONTENT UK to indemnify and hold harmless
ONLINE CONTENT UK in full and defend at its own expense ONLINE CONTENT UK
against all costs, damages and losses incurred by ONLINE CONTENT UK its
servants or nominees arising out of any claim made, anywhere, against it or
any of them for infringement of any third party right in the Materials or
breach of this clause 5.
I keep meaning to re-write our T&Cs to make them less 'legalese' but the
above does get the point across.
