I used to sell bespoke software development, and would calculate the =
price
as follows:

(Hours to spec, write, test plus contingency x hourly rate) + =
(Compensation
for loss of resale rights, assuming that the software has generic value =
and
is resalable).

The first element is relatively easy to calculate, whilst the second =
part is
dependent upon a number of factors - market for this software, whether =
you
will develop it in a generic fashion so that it could be resold, and so
forth. It could well be equivalent in value to the first element. This =
would
typically be in lieu of any royalty deal, but in some ways it's better =
to
have a bird in the hand rather than two in the bush.=20

And presumably you'll add more time in for source code documentation, =
which
they will probably want.
