FN-FORUM: Anyone have any sample software Licensing or support agreements that I can crib :-))
date posted 4th January 2005 16:08
I need to put together a rough license agreement and support agreement
for some CMS software that I have developed and am looking for some
sample agreements that I can tweak prior to getting checked through by
a solicitor.
Any pointers would be appreciated - I will happily share the finished
'legal' version with whoever can help out.
Normally I run the software on my own server but have been asked to
supply it to a client for them to run on their server.
The software will be restricted to only host specific domains. If they
wish to add further domains they will need to add additional license
keys.
I will be providing second level support and an infrastructure so that
they can report problems, with urgent ones being handled within a set
time frame and non urgent ones being batched up and dealt with every
fortnight/month.
The CMS will be continually developed and the client will be entitled
to minor upgrades for free and major ones for a small fee.
The clients will be provided with copies of the source code to be
stored by the MD in the company safe and will only be able to use it
under certain conditions.
I need to provide a license agreement and support agreement to our
solicitor so that he can go through it and cross t's and dot i's to
make sure that it is all legal, however beyond ripping off Microsoft's
licenses am not sure where to start.
Thanks in advance.
