1) Listen to this as podcast:

2) Here's the structure I use (roughly)
- what you understand the job to be - so they know you're on the same =20=
wavelength
- how you will approach the job (method, process etc) - so they =20
understand what to expect
- how long you expect the job to take - a) so they don't expect in a =20
week b) so they understand why costs are more than =A32.50
- what skills and software u will use
- what technical criteria the site will meet
- your skills and experience - so they know why to choose you over =20
someone else
- your price - and what expenses you will charge for - hidden costs =20
etc - as well as payment terms, deposit etc breakdown of costs
- any legals stuff like assignment of copyright etc
Keep the language tight (as it's essentially a legally binding =20
document - if you promise it here you'll have to deliver it) but =20
straight forward (it's also a sales document).
