FN-FORUM: Query re contract for advisory work...

Hiya - any help much appreciated on this one.
I'm about to get involved in scoping out a new venture with someone I
know loosely, but who I wouldn't call a close friend.
Now, for it to pay off, I'm likely to need to put in some unpaid
hours/expertise to help develop the project idea. When (if) it gets up
and running, I may get a lot of work doing what I do best -
copywriting and promotions project designing.
Does anyone have experience of this type of thing? I'd be particularly
keen on a sample of a contract that I could use that basically says
'I'll put in some unpaid hours on this but if it pays off I expect
some work out of it'?!! How on earth does one define 'pays off' in a
contract?
